These Terms & Conditions govern the use of the Impex Furniture UK Trade Portal and apply to all registrations, reservations, quotations, orders, deposits, invoices, payments, and purchases made through the portal.
By registering an account, accessing pricing, reserving products, placing orders, paying deposits, making payments, or continuing to use the Trade Portal, you acknowledge that you have read, understood, and accepted these Terms & Conditions in full.

1. Trade Customers Only
The Trade Portal is strictly available to approved business customers.
By registering or placing an order, you confirm that you are purchasing goods solely for business purposes and not as a consumer.
Impex Furniture UK reserves the right to approve, reject, suspend, restrict, or terminate any account without notice.
2. Supplier Terms & Conditions
Products offered through the Trade Portal are sourced directly from independent manufacturers and suppliers.
Certain suppliers may impose additional requirements relating to:
- Production schedules
- Payment terms
- Minimum order quantities
- Product specifications
- Warranty provisions
- Claims procedures
- Packaging requirements
- Shipment arrangements
Where supplier-specific terms apply, they will be stated on the quotation, order confirmation, proforma invoice, deposit invoice, or final invoice.
In the event of any conflict between these Portal Terms and supplier-specific terms, the supplier-specific terms stated on the invoice or order confirmation shall prevail for that particular transaction.
3. Product Information
All images, specifications, dimensions, weights, quantities, packaging details, container capacities, production estimates, and product descriptions are provided for guidance only.
All images are for illustration purposes only.
Minor variations in colour, finish, stitching, fabric texture, wood grain, dimensions, packaging, construction, and appearance are normal manufacturing tolerances and shall not constitute defects.
4. Packaging, Branding & White Label Services
Unless otherwise stated, all prices displayed on the Trade Portal are based on the manufacturer’s standard export packaging.
Selected products may be available with additional services including but not limited to:
- White-label packaging
- Private-label branding
- Printed cartons
- Custom packaging designs
- Barcode labels
- Swing tickets
- Product stickers
- Instruction manuals
- Retail-ready packaging
- Customer-specific labelling requirements
Availability of these services varies by supplier and product range.
Any customised packaging, branding, labelling, or private-label requirements must be agreed in writing prior to deposit payment and may be subject to additional costs, minimum order quantities, artwork approval, production lead times, and supplier requirements.
The Buyer is solely responsible for ensuring that all artwork, trademarks, branding, barcodes, packaging text, product instructions, warnings, and other materials supplied are accurate and do not infringe any third-party rights.
Once customised packaging, branding, labelling, or private-label production has been approved by the Buyer and production has commenced, such orders cannot be cancelled, amended, returned, or refunded except in the case of confirmed manufacturing defects.
Impex Furniture UK accepts no responsibility for errors, omissions, trademark disputes, regulatory issues, or compliance failures arising from artwork, branding, packaging, or information supplied by the Buyer.
5. Portal Pricing
All prices displayed on the Trade Portal are trade prices intended solely for approved business customers.
Prices are generally displayed on a Delivered UK basis unless otherwise stated.
Prices, stock levels, reservations, production schedules, shipment schedules, freight estimates, delivery estimates, and container availability displayed on the portal are indicative only and do not constitute a legally binding offer.
Impex Furniture UK reserves the right to amend pricing, specifications, availability, and schedules prior to order confirmation.
6. Live Import Pricing & Freight Volatility
Portal prices are based on average ocean freight costs and are calculated to remain competitive.
Impex Furniture UK does not profit from freight or transportation charges.
Global freight rates can fluctuate due to shipping demand, fuel costs, carrier capacity, port congestion, regulatory changes, sanctions, geopolitical events, and other market conditions.
Final order values are confirmed before deposit payment.
Any significant increase or reduction in freight costs prior to shipment may be reflected in the final order value and will be passed directly to customers.
7. Product Reservations
Reservations made through the Trade Portal are expressions of interest only.
A reservation does not constitute:
- An accepted order
- A legally binding contract
- A production commitment
- A guarantee of availability
- A guarantee of shipment dates
Impex Furniture UK reserves the right to amend, reject, modify, or cancel reservations prior to order confirmation.
8. Shared Container Programs
Certain products are offered through Shared Container Programs.
These programs combine orders from multiple buyers into a single shipping container.
Production and shipment schedules may depend upon achieving minimum container utilisation.
Shared Container Program orders may require longer lead times than Full Container Program orders.
Estimated departure dates and arrival dates are indicative only.
Buyers are encouraged to review the “How It Works” section of the Trade Portal for additional guidance regarding reservations, production stages, deposits, shipment procedures, and container allocation processes.
The “How It Works” section is provided for explanatory purposes only and does not override these Terms & Conditions.
9. Full Container Programs
Full Container Programs are intended for customers purchasing an entire container.
Production scheduling may be prioritised for Full Container Program orders.
Lead times remain subject to factory schedules, supplier capacity, freight availability, and shipping conditions.
10. Factory Stock, In Production, On The Water & UK Stock
Products identified as Factory Stock, In Production, On The Water, Ready For Shipment, Supplier Stock, or UK Stock remain subject to availability at the time of order confirmation.
Displayed stock levels are estimates only and may change without notice.
11. Order Confirmation
An order shall only be considered accepted when:
- Final pricing has been confirmed
- Freight costs have been confirmed
- Deposit payment has been received in cleared funds
- Written confirmation has been issued
Until these conditions have been satisfied, no binding contract shall exist.
12. Deposits
A deposit of approximately 30% to 40% of the confirmed order value may be required depending on the supplier, product category, order value, and program selected.
Production shall not commence until cleared deposit funds have been received.
Once deposits have been committed to suppliers, production schedules, raw materials, packaging, freight bookings, or manufacturing processes, deposits become non-refundable.
13. Balance Payments
The remaining balance shall be payable in accordance with the terms stated on the order confirmation, proforma invoice, deposit invoice, or final invoice.
Failure to make payment within the required timeframe may result in storage charges, shipment delays, cancellation of bookings, resale of goods, and forfeiture of deposits.
14. Production & Delivery Estimates
All production schedules, vessel departures, transit times, arrival dates, and delivery estimates are provided in good faith.
All dates are estimates only and shall not form part of any contractual guarantee.
Impex Furniture UK shall not be liable for delays caused by suppliers, carriers, ports, customs authorities, weather conditions, industrial action, government restrictions, vessel schedule changes, or any other events beyond reasonable control.
15. Claims, Damages & Defects
Visible transit damage must be recorded at the time of delivery.
Claims must be submitted in writing within 48 hours of delivery and supported by clear photographs and/or videos.
Claims submitted outside this period may be rejected.
Any remedy may include replacement parts, repair, credit note, partial compensation, or supplier-approved replacement products.
16. Returns & Cancellations
All goods are supplied on a business-to-business basis.
Returns are not accepted except where goods are confirmed as defective in accordance with Clause 15.
Orders cannot be cancelled once production has commenced or deposits have been committed to suppliers.
17. Warranty & Defect Claims
Unless otherwise stated on the product page, quotation, order confirmation, proforma invoice, deposit invoice, or final invoice, no additional contractual warranty period is provided beyond the rights available under applicable law.
Any manufacturing defects, shortages, or quality-related issues must be reported in accordance with Clause 15 (Claims, Damages & Defects).
Where a supplier or manufacturer provides a specific warranty, guarantee, or after-sales support program, details will be provided in writing and shall apply only to that specific product, supplier, or order.
Impex Furniture UK may assist customers in submitting warranty or defect claims to the relevant supplier or manufacturer where applicable; however, all claims remain subject to supplier assessment, approval, and any applicable supplier warranty terms.
Normal wear and tear, misuse, improper assembly, accidental damage, neglect, commercial misuse, incorrect storage, unauthorised modifications, or failure to follow product care instructions shall not be covered.
Nothing within these Terms & Conditions shall exclude or limit any rights that cannot legally be excluded under applicable law.
18. Import Responsibilities
Where the Buyer acts as Importer of Record, the Buyer is solely responsible for providing valid EORI, VAT, customs, and import documentation.
The Buyer shall remain responsible for customs duties, VAT, inspections, penalties, and regulatory compliance requirements.
19. Non-Circumvention
The Buyer shall not directly or indirectly contact, negotiate with, purchase from, or otherwise engage any supplier, manufacturer, factory, sourcing partner, or agent introduced by Impex Furniture UK.
This restriction shall remain in force for a period of three (3) years from the date of the last transaction.
20. Communications
The Buyer agrees that order updates, production updates, freight updates, shipment notifications, payment reminders, invoices, and other communications may be delivered through:
- The Trade Portal
- Email
- WhatsApp
- Telephone
- Other contact methods provided by the Buyer
21. Limitation of Liability
The total liability of Impex Furniture UK shall not exceed the invoice value of the affected goods.
Impex Furniture UK shall not be liable for indirect, consequential, commercial, loss of profit, loss of revenue, loss of opportunity, or business interruption losses.
22. Force Majeure
Neither party shall be liable for delays or failures resulting from events beyond reasonable control including but not limited to:
War, sanctions, terrorism, port congestion, vessel shortages, freight disruptions, factory shutdowns, pandemics, epidemics, government restrictions, labour disputes, natural disasters, or other force majeure events.
23. Amendments
Impex Furniture UK reserves the right to amend these Terms & Conditions at any time.
The version accepted by the Buyer at the time of deposit payment shall apply to that transaction.
24. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms.
25. Acceptance
By registering an account, accessing pricing, reserving products, placing orders, paying deposits, making payments, accepting quotations, accepting invoices, or continuing to use the Trade Portal, the Buyer confirms acceptance of these Terms & Conditions in full.
